Governance Structure

Based on the Law of the Republic of Indonesia No. 40/2007 on Limited Liability Company (“Company Law”), a Company’s structure consists of General Meeting of Shareholders, the BOC, and the BOD.  The shareholders through the GMS represent the highest structure in the company.

The shareholders will place their representatives as the BOD members of the company in managing it. The supervision of the BOD is a function assumed by the BOC. However, the BOC and BOD bear the responsibility to maintain the business continuation of the company in the long run. Therefore, the BOC and the BOD are required to have the same perception on the company vision and mission.

To help implement its duties, the BOC is assisted by several committees established by the BOC itself to support them in supervising the BOD.  The organizational structure is setup with the consideration of effective and efficient implementation.
